General terms and conditions

General:

These General Terms and Conditions define our terms and conditions for the supply of goods and services. These conditions form an integral part of any order placed by the customer or any contract concluded by SARL CALILFORLAND/ WOODEE BIKES (the «Seller») with the customer. They are systematically sent, delivered, or brought to the attention of the customer who declares to have read and accepted them before placing an order. Consequently, any condition to the contrary or mention made by the customer on the order or in its general conditions of purchase, may not, unless the Seller formally accepts in advance and in writing, prevail over the application of these general conditions.

Orders:

For an order placed on www.woodeebikes.com

It is up to the Customer to select on the Website the Products he wishes to order according to the following terms:

1/ Item selection and add to cart.

2/ Validation of the contents of the cart.

3/ Account creation form or if the customer already has an account, identification of the customer through his personal identifiers.

4/ Choice of delivery method and location of delivery. The Customer is informed of the cost of shipping.

5/ Verification of the order, selection of the payment method, acceptance of the General terms and conditions of sale.

6/ Online payment.

7/ Validation of payment.

To place an order, the Customer must follow the ordering procedure as described on the Website when placing the order.

The Customer must verify the completeness and conformity of the information provided during the order, including the delivery address and billing address.

The Seller cannot be held liable for any errors of entry and the consequences thereof, so that the costs incurred for the return of the order would, in this case, be paid by the Customer.

The Customer confirms his order through the electronic purchase procedure on the Website. This confirmation from the customer materializes the sales contract between the Customer and the Seller. The sale will be firm and final, and the deadlines of availability and shipment begin only after the sending by email to the Customer of the confirmation of the acceptance of the order by the company CALIFORLAND SARL/ WOODEE BIKES. The sale will be considered final only after the confirmation of the acceptance of the order by the Seller by email and after receipt by the Buyer of the entire price of the order. The Seller reserves the right to cancel or refuse any order from a Customer with whom there is a dispute relating to the payment of a previous order.

Prices:

Prices are quoted in euros. They do not take into account delivery costs, added to the final invoice and indicated before the validation of the order. The prices take into account the VAT applicable on the day of the order and any change in the applicable VAT rate will automatically be reflected in the price of the products in the online store. Payment of the full price must be made when ordering. At no time can the sums paid be considered as deposits or down payments.

In the context of an export sale, the taxes in force in the country of the buyer remain the responsibility of the latter.

The selling prices of the products can be modified by CALIFORLAND SARL/WOODEE BIKES at any time.

Availability of products:

In case of unavailability of the product ordered, in particular because of our suppliers, the consumer will be informed as soon as possible and will have the possibility either to cancel his order or change it. In case of order cancellation, we promise to refund it as soon as possible, or to transform it into a voucher.

Order Acknowledgement:

The delivery times appearing on our receipt of orders or communicated by any other means are given only as an indication and can under no circumstances give grounds for compensation or termination of the order. In case of dispute about the transmission of order or the content of the order, the customer must inform us by return and at the latest within 48 hours of notification of the order acknowledgement, otherwise and subject to the legal withdrawal period of 14 days in the case of mail order, the order will be considered as final after acknowledgement of receipt and the responsibility of the Seller will be released.

Packaging and Shipping:

The rates specify the conditions of port: factory departure, free port to the address indicated by the customer when ordering. The customer is obliged to check the goods upon receipt in the presence of the deliveryman and to immediately make reservations noted by the deliveryman with his signature, the date and time of delivery, with photos and description of the damage to the carrier and the Seller if necessary, or to refuse the goods in case of serious doubts about the condition of the package and its contents. The issuance of simple reservations following a damaged package is not enough to engage the carrier’s liability, a statement must be established in the presence of the delivery person and the refusal of delivery motivated.

Right of withdrawal:

The Customer has a period of 14 (fourteen days) from the receipt of the Product selected by him when placing the order to exercise his right of withdrawal from the Seller, without having to justify reasons or pay a penalty, for the purpose of exchange or refund, provided that the Products are returned in new condition, in their original packaging, also in perfect condition, and within 14 (fourteen) days of notification to the Seller of the Customer’s decision to withdraw.

Returns that do not meet these criteria will not be refunded and remain available to the consumer in our premises.

Shipping costs remain the responsibility of the customer. Returns "postage paid by the recipient" or "cash on delivery" will be refused.

WOODEE BIKES Warranty:

Our WOODEE range has been developed with the aim of offering the best quality and reliability to its users. We have chosen SHIMANO for the engine/ battery, braking and transmission groupset. SHIMANO is the world’s leading supplier of components for electrical assisted bikes, a guarantee of quality, performance and accessibility to components worldwide.

Our manufacturer’s warranty is valid under the following conditions.

Warranty Conditions:

CALIFORLAND SARL guarantees WOODEE electric bikes under normal conditions during reasonable use.

Warranty Period:

- Frame is guaranteed 5 years.
- Finishes such as paints, stickers and other decorations are guaranteed against manufacturing defects for a period of 6 months.
- All other components are guaranteed 2 years.

Warranty Exclusion:

This warranty does not cover:
- The entire Bike if it has been repaired or modified by someone other than an approved WOODEE Bikes or SHIMANO dealer.
- If the bicycle was used for rental or commercial purposes.
- If WOODEE or SHIMANO marks have been erased, or serial numbers have been erased or deleted.
- If damage resulting from causes other than non-conformities of materials and manufacture, including, but not limited to, an accident, abuse or misuse beyond the manufacturer’s recommendations, negligence, improper assembly, improper repair, improper maintenance, improper cleaning, alteration, or other abnormal, excessive or inappropriate use, alteration of paint or polishing of the frame.


•   Damage during shipment.
•   Damage during private transportation.
•   Damage resulting from the use of products that are non-compliant or incompatible with WOODEE Bikes or Shimano products.
•   Damage resulting from normal wear and tear, including but not limited to damage or deterioration to the surface finish, aesthetics, or appearance of the WOODEE Bikes or Shimano product.
•   Use not adapted to the body type.
•   Prolonged use after the bike was found to be damaged.
•   Damage resulting from intentional or third-party liability.
•   In the event of the impact of external elements or agents (moisture, sea salt, fire, natural disaster.)
•   In case of use that does not comply with safety standards and techniques.
•   In case of non-compliance with the maintenance periods recommended in the user guide and validated by an authorized WOODEE Bikes or SHIMANO dealer.

Warranty conditions:

WOODEE Bikes warranty conditions:

The warranty takes effect on the date of purchase that appears on the invoice, and which alone is authentic.

During the warranty period, CALIFORLAND SARL undertakes to replace at its expense and at its discretion the parts of WOODEE Bikes having a manufacturing defect or material. The defect must be noted by our customer service. It alone is entitled to decide on the implementation of the warranty.

This warranty applies only to bikes purchased from an authorized WOODEE Bikes dealer or at www.woodeebikes.com. It applies to strictly normal use of the bike.

In the event of a transfer of ownership, the warranty will apply only on presentation of the original invoice stating the transfer of ownership, dated, and signed by the seller and the buyer with the update of the mandatory anti-theft marking (Bicycode, Paravol, etc.).

Replacing a part does not suspend or renew the original warranty period. All repaired or replaced parts have the current warranty period whose starting point is set at the date of purchase of the bike.

Implementation of the WOODEE Bikes warranty:

We will process your service requests by phone at +33(0)558 354 025 or by email sav@woodeebikes.com. The WOODEE Bikes workshop is also open from Monday to Saturday, from 9:30 to 13:00 and from 14:30 to 19:00 (Woodee Bikes, Horizon Océan II Quai de la Pêcherie 40130 Capbreton), by appointment only.

Third Party Brands:

In case of warranty claim on third-party brand products, the warranty conditions are those of these brands in force.

We can act as an intermediary in case of warranty claim on these products.

Recommendations :

Cycling with electric assistance (VAE-EN15194) requires some precautions, compliance with the highway code and traffic rules. The fact of having an extra power with the electric assistance, should not incite you to commit imprudence or to transgress the laws. The cyclist is responsible for his driving. He assumes all the risks related to the use of his electric bike, the possible material accidents, or injuries that he can cause to himself or to third parties. As such, it is advisable to wear a helmet approved on and off road, to prevent head injuries.

Electric bike users must contact their insurance company to ensure the protection of the user and third parties during daily use, prevent damage related to theft. Your Woodee will surely be envious. A security level 15 padlock, or even a built-in GPS tracker, will deter thieves.

Your Woodee can venture off the beaten track. On forest roads and in natural areas, the rules and regulations apply to you and other users. It is always strictly forbidden to circulate in protected areas (dunes, nature reserves, some fragile coastal areas).

The rules of common sense also require speed and careful driving on all occasions, especially on shared roads (bike paths, forest, or mountain trails) and never drive in broad daylight in the summer, on a busy beach, or in bathing areas.

Like any mechanical machine, your Woodee is subject to stress and wear. Some parts or components may react differently to use. If the service life of a part has been exceeded, it may suddenly break and cause injury to the user. Any form of crack, scratch or color change in heavily stressed areas indicates that the service life of the component has been reached and needs to be replaced.

Usage tips:

- Always have a bike in good condition and clean.
- Never use your bike if you detect any problem.
- Wearing an approved helmet is strongly advised when using your bike.
- Follow assembly and adjustment instructions.
- Remember to run your hydraulic brake system.
- Do not put your bike upside down for assembling or various maintenance operations, you may damage the levers or meter, and damage the hydraulic brake system.

IF YOU FALL: If you fall with your bike, please check that no components are damaged. If so, replace it. If in doubt, have your bike checked by a professional.

PROPER USE: Improper use of your WOODEE may prematurely damage your bike, or even lead to the breakage of certain parts and therefore cause injury.

TRAFFIC SIGNS: You are required to respect the rules of the road and other users. You are therefore obliged to have the necessary safety features for the use of your electric bike on public roads. Refer to the law in force in your country for accessories to install.

Billing:

Invoicing is VAT included.

Payment options:

Upon receipt by check, bank transfer, credit card or cash.

Retention of Title:

Ownership of the goods will be transferred to the customer only after full payment of the price in principal and accessories. In the absence of payment after formal notice, the Seller may choose to take back the goods still in stock at the customer’s expense or demand the cancellation of the sale.

IT and freedom:

The personal data requested from the Customer are necessary for the processing of his order and the establishment of invoices, in particular. This data may be communicated to any partners of the Seller responsible for the execution, processing, management, and payment of orders. No – partial validation:

If one or more stipulations of these general conditions are held to be invalid or declared as such pursuant to a law, a regulation or following a final decision of a competent court, the other stipulations shall retain their full force and scope.

No – Waiver:

The fact that one of the parties does not avail itself of a breach by the other party of any of the obligations referred to in these general conditions cannot be interpreted for the future as a waiver of the obligation in question.

Jurisdiction:

Orders are subject to French law. Any dispute that may arise between the Seller and the customer relating to the formation, execution, or interpretation of this contract will be the exclusive jurisdiction of the courts of Bayonne (64100 France). This clause applies even in the case of summary proceedings, incidental claims, or plurality of defendants or warranty appeal and whatever the method and terms of payment, without any clauses conferring jurisdiction that may exist being able to prevent the application of this clause.
